Terms of Use for the Savista Financial Assistance Pre Screening App

These Terms of Use (“Terms”) govern your access to and use of the Savista Financial Assistance Pre‑Screening Application (the “App”), provided by Savista LLC and its affiliates (“Savista,” “we,”“us,” or “our”).

IMPORTANT – CLICKWRAP ACCEPTANCE

BY CLICKING “I AGREE,” “CONTINUE,” OR BY ACCESSING OR USING THE APP, YOU:

  • Acknowledge that you have read and understand these Terms
  • Agree to be legally bound by them
  • Consent to electronic transactions and disclosures

If you do not agree, you must not use the App.

1. Purpose of the App

The App is provided solely for administrative convenience to facilitate data entry and potential pre‑screening and application completion for financial assistance programs (“FAPs”).

IMPORTANT:

  • The App does NOT determine eligibility
  • Use of the App does NOT guarantee financial assistance
  • All eligibility determinations are made solely by healthcare providers or FAPs

2. Relationship of the Parties

Savista is a service provider to healthcare providers.

Savista is NOT:

  • A  healthcare provider
  • A lender, creditor, or financial institution
  • A Financial Assistance Program
  • An administrator of FAPs
  • A legal, financial, tax, or patient advocate

3. No Professional Advice

The App is for administrative and informational purposes only.

Savista provides no legal, medical, financial, or tax advice.

4. User Responsibilities and Data Accuracy

You agree to provide accurate, complete, and current information.

You acknowledge:

  • Outcomes depend entirely on your submitted data
  • Savista does not independently verify all data

Savista is not liable for:

  • Errors or omissions in user-submitted data
  • Any determination made by a healthcare provider or FAP

5. Data Use Authorization and HIPAA Acknowledgment

5.1 Authorization to Use and Disclose Information

By using the App, you authorize Savista to:

  • Collect, receive, maintain, and transmit your information
  • Share your information with:
       
    • Your healthcare provider
    •  
    • Applicable FAPs
    •  
    • Contractors acting on their behalf

This authorization is provided for purposes of evaluatingeligibility and facilitating applications.

5.2 HIPAA-Related Acknowledgment

To the extent your information constitutes protected health information (“PHI”):

  • You acknowledge Savista may act:
       
    • As a business associate to healthcare providers, or
    •  
    • As a service provider handling data at the direction of providers
  •  
  • You authorize disclosures consistent with:
       
    • The Health Insurance Portability and Accountability Act of 1996 (HIPAA)
    •  
    • Applicable provider Notices of Privacy Practices

Savista does not independently determine HIPAA coverage status for any data.

5.3 Provider Control

You understand:

  • Healthcare providers and FAPs are independent data controllers
  • Their use of your data is governed by their own legal obligations and policies

6. Consent to Electronic Communications (E‑SIGN)

You consent to receive all communications electronically, including:

  • Notices
  • Agreements
  • Disclosures

You agree:

  • Electronic communications satisfy legal writing requirements
  • You are responsible for maintaining access to required technology

Withdrawal of consent may limit App functionality.

7. Third-Party Programs

Savista:

  • Does not operate or control FAPs
  • Does not guarantee outcomes
  • Is not responsible for third-party decisions

8. No Guarantee of Results

Savista makes no guarantee of:

  • Eligibility
  • Approval
  • Financial assistance

9. Accessibility (ADA)

Savista strives to provide an accessible experience consistent with the Americans with Disabilities Act (ADA).

10. Children’s Use (COPPA)

The App is not intended for children under 13.

Savista does not knowingly collect data from children under13 and will delete such data if identified.

11. Audit, Monitoring, and Logging

You acknowledge and agree that Savista may:

  • Monitor, log, and audit App usage
  • Track submissions, interactions, and system activity
  • Use logs for:
       
    • Security
    •  
    • Fraud detection
    •  
    • Compliance
    •  
    • System improvement

Such records may be used in dispute resolution.

12. Fraud, Misrepresentation, and Right to Revoke

You agree not to:

  • Provide false, misleading, or incomplete information
  • Misrepresent identity or financial condition

Savista reserves the right to:

  • Suspend or terminate access immediately
  • Reject or halt processing of any submission
  • Revoke processing or transmission of data where fraud or misrepresentation is suspected

Savista shall have no liability for such actions.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, the App is provided:

“AS IS” and “AS AVAILABLE.”

Savista disclaims all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy
  • Availability

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Savista shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of data or opportunity
  • Denial of financial assistance

Liability cap: $100 USD or minimum allowed by law.

15. Release

You release Savista from claims arising out of:

  • App use
  • Third-party determinations
  • Data inaccuracies

16. Indemnification

You agree to indemnify Savista for claims arising from:

  • Your misuse
  • Your violations
  • Your inaccurate data

17. Arbitration Agreement

17.1 Mandatory Arbitration

All disputes shall be resolved by binding arbitration.

17.2 AAA Rules / Arbitrator

  • Any arbitration must be governed by AAA rules
  • The dispute shall be decided by one arbitrator to be mutually agreed upon by the parties to the arbitration.

17.3 Costs

  • Costs shall be shared equally ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW
  • Where law requires otherwise, allocation will comply with legal requirements

17.4 Waiver of Jury Trial

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SAVISTA KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE APP, OR YOUR USE OF THE APP.

YOU ACKNOWLEDGE THAT:

  • THIS WAIVER IS A MATERIAL INDUCEMENT TO SAVISTA PROVIDING THE APP;
  • YOU HAVE HAD THE OPPORTUNITY TO REVIEW THIS WAIVER CAREFULLY; AND
  • YOU UNDERSTAND THAT, ABSENT THIS WAIVER, YOU MAY HAVE HAD A RIGHT TO A JURY TRIAL.

17.5 Class Action Waiver

Claims must be brought individually.

18. State-Specific Carve-Outs

California

  • Non-waivable rights are preserved
  • Small claims actions permitted where applicable
  • Civil Code §1542 waiver applies

Other States

State-specific protections apply where required by law.

19. Termination

Savista may terminate or suspend access to this App at any time with or without notice.

20. Modifications

Continued use of the App after any update constitutes acceptance.

21. Governing Law

These Terms are governed by the laws of the State of Delaware without regard to any conflict of law rules.

22. Severability

Invalid provisions do not affect the remainder.

23. Entire Agreement

These Terms govern your use of the App.
